Terms of Use

These Terms of Use govern your access to and use of the Ventura Markets platform, website, and related services. They define the rights and obligations between you and Ventura Markets AB and set out the conditions under which the Platform may be used. By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms of Use.

1. Agreement

These Terms apply to any individual or legal entity accessing or using the Platform (“you” or “your”). The Platform is owned and operated by Ventura Markets AB, a Swedish limited liability company (“Ventura Markets”).

By registering for, logging into, or otherwise using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms of Use and that you have the legal capacity to enter into this agreement. If you do not accept these Terms, you must not access or use the Platform.

If you access or use the Platform on behalf of an employer or another legal entity, you represent and warrant that you are authorized to bind such entity to these Terms. In such cases, references to “you” or “your” refer to that entity. If you lack such authority, you may not use the Platform.

Where a separate agreement exists between Ventura Markets and a customer entity governing use of the Platform, that agreement shall also apply. In the event of any conflict, the separate agreement shall prevail. If you use the Platform in a personal capacity, these Terms of Use govern exclusively.

2. Privacy Policy

Ventura Markets’ privacy policy (the “Privacy Policy”), available on the Platform, describes how personal data is collected, processed, and protected in connection with your use of the Platform.

By accepting these Terms of Use, you also consent to the processing of personal data as described in the Privacy Policy.

Ventura Markets may amend the Privacy Policy from time to time. Any changes take effect once published on the Platform or as otherwise specified.

3. Third-Party Information

The Platform may contain information, documentation, or links provided by third parties, including issuers, transaction counterparties, sponsors of liquidity events, or other external parties.

Ventura Markets does not verify, endorse, or assume responsibility for the accuracy, legality, completeness, or reliability of any third-party content, nor for any products, services, or investment opportunities offered by such parties.

You acknowledge that any use of third-party information or websites is undertaken at your own risk. Ventura Markets bears no responsibility for third-party content, policies (including privacy policies), or practices, or for how such third parties process information you provide to them.

4. Registration and Login Information

Access to certain features of the Platform may require you to create or be assigned login credentials. All information associated with your account, including contact details and credentials (“Registration Information”), must be accurate, current, and complete.

You are responsible for keeping your Registration Information up to date. Ventura Markets may use your registered email address to deliver confirmations, notifications, and information related to the Platform. You acknowledge that Ventura Markets and its affiliates may also contact you regarding their services and offerings.

You are solely responsible for maintaining the confidentiality of your login credentials and must promptly notify Ventura Markets of any suspected unauthorized access or security breach.

5. Use of the Platform

Your right to access and use the Platform is personal and non-transferable. You agree to use the Platform only in a lawful and authorized manner and not to engage in any activity that may disrupt, damage, or misuse the Platform.

In particular, you agree not to:

• use automated tools or processes to access or extract data from the Platform without prior written consent;
• reproduce, distribute, or exploit Platform content beyond its intended purpose;
• interfere with the Platform’s technical operation or security;
• upload malicious code or harmful materials;
• reverse engineer or attempt to access the Platform’s underlying software;
• infringe third-party rights or misuse personal data;
• circumvent the Platform to complete transactions outside the Platform with parties identified through it.

Ventura Markets does not guarantee uninterrupted availability of the Platform and shall not be liable for temporary service interruptions, data loss, or technical issues.

6. Confidentiality

Information made available through the Platform may include confidential or proprietary information belonging to Ventura Markets, issuers, selling shareholders, or other third parties (“Confidential Information”).

You agree to protect Confidential Information with at least the same degree of care you apply to your own confidential information, and no less than reasonable care.

Confidential Information may only be disclosed where required by law, with prior authorization, or to professional advisors and affiliates bound by confidentiality obligations. You remain responsible for any breach of confidentiality by persons to whom you disclose such information.

7. Alerts

The Platform may provide automated or optional alerts related to account activity or Platform updates. Alerts are delivered electronically and may be subject to delays or technical limitations.

Ventura Markets does not guarantee the timing, accuracy, or delivery of such alerts.

8. Rights Granted to Ventura Markets

You grant Ventura Markets a royalty-free right to use information and content you submit to the Platform solely for the purpose of operating, maintaining, and improving the Platform.

Any feedback you provide may be used by Ventura Markets without restriction or compensation.

9. Intellectual Property Rights

All content, design, software, and materials on the Platform are protected by applicable intellectual property laws and are owned by or licensed to Ventura Markets or its licensors.

You may access and use such materials solely for their intended purpose and may not reproduce, distribute, or otherwise exploit them without prior written consent.

10. No Advice or Offers

Ventura Markets is not a regulated exchange, investment adviser, financial planner, or tax adviser.

The Platform does not provide legal, tax, investment, or financial advice, nor does it constitute an offer or solicitation to buy or sell securities.

11. Limitation of Liability

The Platform and its content are provided on an “as is” and “as available” basis. Ventura Markets and its affiliates disclaim all warranties to the maximum extent permitted by law.

Ventura Markets shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform. Total liability is limited to the greater of SEK 5,000 or the fees paid by you during the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Ventura Markets and its affiliates from any claims, losses, damages, or liabilities arising from your breach of these Terms of Use or misuse of the Platform.

13. Termination

Ventura Markets may suspend or terminate your access to the Platform at any time, with or without notice.

Provisions intended to survive termination shall remain in effect.

14. Amendments

Ventura Markets may revise these Terms of Use at any time. Continued use of the Platform following publication of updated terms constitutes acceptance of such changes.

15. Governing Law and Dispute Resolution

These Terms of Use are governed by Swedish law.

Any dispute shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (SCC), unless Ventura Markets elects to bring proceedings before a Swedish general court.

16. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms of Use constitute the entire agreement between you and Ventura Markets regarding use of the Platform. Electronic signatures shall be deemed equivalent to handwritten signatures.
